The mission of Delaw Chambers is to provide a timely and courteous service in a cost-efficient manner.

The firm has, from its humble beginnings, dedicated itself to performing at the high levels expected of law firms seeking to play a supportive role to businesses. The practitioners at Delaw Chambers have all previously practised law in well-established and distinguished law firms. They thus bring with them into Delaw Chambers, an aggregate of the highest skills representing various fields of specialisation.

Delaw Chambers undertakes a mix of assignments with a sizeable number of corporate organisations, banks, non-bank financial institutions, the Nigeria Deposit Insurance Corporation (NDIC), construction companies, insurance companies, stock broking firms, trading companies, oil & gas exploration and production companies, real estate and ICT companies, to mention but a few. Our long-standing involvement in corporate and commercial, oil and gas, environment and taxation laws enables us to understand the underpinning issues at play in these industries.

Key Projects successfully undertaken by the firm or worked on,
at one time of the other by the principal personnel of the firm, include:-

  • The Restructuring of UAC of Nigeria Plc (“UACN”), scheme of arrangement by means of which the investment properties of UACN were transferred to UACN Property Development Company Plc.
  • The Restructuring and re-arrangement of the business of Nestle Foods Group in Nigeria by way of merger of Nestle Nigeria Ltd and Nestle Foods Nigeria Plc.
  • The Merger of Total Nigeria Plc. with Elf Oil Nigeria Limited.
  • The Merger between Coop Savings and Loans Limited and Post Service Homes (savings & loans) Limited.
  • Advised on Various employee recruitment, termination, compensation and benefits matters for Oceaneering/Solus Schall Nig. Ltd. as well as redundancy matters and negotiations with the National Union of Petroleum and Natural Gas Workers (NUPENG).
  • The Merger of PZ Industries Nigeria Plc. with Thermocool Nigeria Limited.
  • The Restructuring of Stanbic IBTC Bank Plc
  • Acted as solicitors in the successful recovery of over N200 Million (in combination of landed property, shares and liquid cash) from a stock broking company and its principal at the Investment and Security Tribunal in favour of Adesoye Holdings Ltd (one of the largest and most diversified indigenous trading and manufacturing companies in Nigeria).
  • Advisory work for Dangote Industries Limited in the $1 Billion Multiple Financing (onshore and offshore facilities) for the construction of green field Cement Plant in Obajana, Kogi State.
  • Advised Addax Petroleum Company on the resolution of land related community disputes with emphasis on environment management, effective dialogue with communities and the creation of channels for public education/awareness issues and host community development projects.
  • Advised ETCO Nigeria Ltd-one of the largest electrical, mechanical, and plumbing companies in Nigeria in the recovery of US$250,000.00, extended contract sum, from shell Petroleum and Development Company arising from the contract for the refurbishment of Freeman House.
  • Public offer for subscription of 420,000,000 ordinary shares of Ikeja Hotels Plc (owner of Sheraton Hotel & Towers)
  • Public offer for subscription of 650,000,000 ordinary shares of the Tourists Company of Nigeria Plc. (owner of Federal Palace Hotels & Towers)
  • Regularisation of immigration status and work permits of personnel of Research & Marketing Services Ltd.
  • Advisory work on multi-fact upstream and downstream investment, production sharing, oil & gas E&P and Project Mechanisms, including financial terms, incentives instruments and the regulation of interests, setting up and running of E&P and marketing companies and joint ventures of major multinational oil companies and other indigenous oil companies (Niger Delta Exploration and Oil & Gas Nig. Ltd., the first marginal field operator in Nigeria).
  • Obtained work permits and expatriate quota approvals for Enron International, Total Upstream Nigeria Ltd., Texaco's Deep Star & Oceaneering/Solus Schall Nig. Ltd.
  • Advised Texaco Nig. Plc on the development and implementation of a management personnel restructuring scheme. This included the devising ad execution of an early retirement plan, and outsourcing of personnel function scheme, to reduce the overall management level staff strength in accordance wit company objectives.
  • Preliminary work in conjunction with Baker & McKenzie on the implementation of Accenture global flexible work arrangements “policy”.
  • Advised on employee stock-option plans in conjunction with Baker & McKenzie for amongst others: Western Atlas, Inc; Procter & Gamble and Schlumberger Ltd.
  • Preliminary work on the Accenture E-Units “retirement plan”.
  • Legal Advise on the Regulatory Compliance issues involved in the setting up of the West African Gas Pipeline (WAGP) Project.
  • Active participation in Conciliatory Proceedings on behalf of ETCO Nigeria Ltd in a contractual dispute between ETCO v. Tourist Company of Nigeria leading to the award of US$2.5M to ETCO.
  • Public offer and rights issue of 109,800,000 ordinary shares of Berger paints Nigeria Plc.
  • Rights Issue of 749,007,703 ordinary shares of Golden Capital Plc
